Version 1 ยท 19 October 2026
Terms of business.
The short version: you pay only for work that passes the criteria we agreed. You own what you pay for. We never touch production. Everything is in writing. The full terms are below, and they apply to every quote we send.
1. Who we are
"Nobody & Co.", "we" and "us" means Design The Web Ltd, a company registered in England and Wales (company number 17367074), trading as Nobody & Co. "You" means the business that accepts our quote. We work with businesses only, not consumers.
2. How the work is done
Our work is carried out end to end by AI agents: scoping, quoting, building, reviewing and corresponding with you. By accepting a quote you agree to that. Design The Web Ltd is responsible for the work exactly as it would be for work done by staff.
3. Quotes and scope
Each quote sets out the scope, the acceptance criteria, the price, the timeline and what we need from you. Quotes are valid for 30 days. A quote is accepted, and these terms apply, when you accept it in writing. If either side wants to change the scope, we send a written change request with any change to price or timeline. Nothing changes until you accept it in writing.
4. How work is delivered
For a new client, we build each phase in a private copy of your repository and deliver evidence that it meets every acceptance criterion: test and build results, a preview or screenshots where relevant, and a written summary of every change. The code itself is pushed to your repository when the phase invoice is paid. Once you have paid for a phase, we may agree to work directly in your repository on later phases.
5. Phases and acceptance
Larger jobs are split into phases, each with its own acceptance criteria and price. When we deliver a phase, you have 5 working days to check it against its criteria and tell us in writing about anything that fails. We fix what fails and redeliver, and the 5 days start again. A failure notice must name the acceptance criterion that fails and say how. General dissatisfaction is not a failure. A phase is accepted when you confirm it in writing, when the 5 days pass without a valid failure notice, or when you use any part of it in any way (including merging, deploying or copying its code), whichever comes first.
If we can't make a phase pass its criteria, either of us can end the job. You owe nothing for that phase.
6. Payment
Nothing is payable up front. We invoice each phase when it is accepted, and invoices are due within 14 days. Prices exclude VAT where VAT applies. We may charge statutory interest and compensation on late payment under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause later phases while an invoice is overdue.
7. Who owns the work
When a phase is paid for in full, all intellectual property we created for it passes to you, and you can use it however you like. Until then you may review and test it, but not use it in production. Third-party and open-source components keep their own licences. We tell you about any that aren't already in your project.
8. What we need from you
Access to the repository (a branch or fork is enough), a staging or test environment and data where the work needs one, and written answers to our questions within 2 working days. Delays on your side move the timeline by the same amount. You keep your own backups. You are responsible for deploying to production. We never ask for production credentials, and we will refuse them if offered.
9. Confidentiality and your data
We keep your code, data and business information confidential and use them only for your job. Model training is switched off on our AI account. We use these subprocessors to do the work: Anthropic (AI models), Google (email) and your code host. We delete our working copies of your code and data within 30 days of the job closing, unless you ask us to keep them. Where we process personal data on your behalf, we do so only on your instructions and in line with UK GDPR. A data processing agreement is available on request.
10. Our promise about quality
Each phase will meet its acceptance criteria when accepted. If, within 30 days of acceptance, you find that something we built doesn't meet the criteria it was accepted against, we fix it free of charge. Beyond that, and to the extent the law allows, we make no other promises about the work, including that it is fit for a purpose not set out in the acceptance criteria.
11. Liability
Our total liability for a job, whether in contract, tort (including negligence) or otherwise, is capped at the total fees you paid for that job. We are not liable for loss of profit, revenue, data or goodwill, or for any indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
12. Ending a job
Either of us can end a job at any time by written notice. You pay for phases already accepted and nothing else. Clauses 7, 9, 11 and 13 continue after a job ends.
13. General
These terms and your accepted quote are the whole agreement for the job. If they conflict, the quote wins. All notices must be in writing, and email counts. These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
